1. Definitions
In these Terms of Service, the following terms have specific meanings:
- "Services" refers to the PolicyPulse website, applications, tools, and services offered by PolicyPulse, Inc.
- "User Data" refers to any data or information you provide to us or that we collect about you in connection with your use of our Services.
- "Content" refers to all text, documents, policies, summaries, images, and other materials that are summarized, analyzed, or displayed through our Services.
- "Free Trial" refers to a limited-time promotional period where paid features are made available at no cost.
- "Premium Features" refers to advanced features and capabilities available only to paying subscribers.
- "Subscription" refers to a recurring payment arrangement that grants access to Premium Features.
2. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the PolicyPulse website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Please read these Terms carefully. They include important information about your legal rights, and also address limitations of liability, a class action waiver, and resolution of disputes by arbitration instead of in court.
Your use of our Services is also subject to our Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms.
3. Changes to Terms
We may modify these Terms at any time. If we do so, we will let you know either by posting the modified Terms on the Site or through other communications. It's important that you review the Terms whenever we modify them because if you continue to use the Services after we have posted modified Terms on the Site, you are indicating to us that you agree to be bound by the modified Terms. If you don't agree to be bound by the modified Terms, then you may not use the Services anymore.
4. Service Availability & Support
We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance or updates that could cause temporary disruptions to the Services. Status updates for our Services are available at https://app.policypulse.com/status.
Support for the Services is provided on a best-effort basis. Priority support is available to subscribers of paid plans as described on our pricing page.
5. Eligibility
You must be at least 16 years of age to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 16 years of age and have the legal capacity to enter into a binding agreement.
6. Account Registration
To access certain features of the Services, you may be required to register for an account. When you register for an account, you agree to provide accurate, current, and complete information and to keep this information updated. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your account. We encourage you to use a "strong" password (a password that uses a combination of upper and lower case letters, numbers, and symbols) with your account. You agree not to disclose your password to any third party and to notify us immediately of any breach of security or unauthorized use of your account.
7. Subscription and Payment
7.1 Subscription Plans
We offer various subscription plans, including Free, Pro, and Team/Enterprise tiers. Each plan offers different features and usage limits as described on our pricing page.
7.2 Payment
When you subscribe to a paid plan, you agree to pay all fees applicable to your subscription. Unless otherwise stated, all fees are quoted in U.S. Dollars. We use a third-party payment processor to process your payment information. By providing your payment information, you authorize us to charge your payment method for all fees due.
7.3 Recurring Billing
For subscription plans, you will be charged on a recurring basis (monthly or yearly, depending on your selection) until you cancel your subscription. You may cancel your subscription at any time, and your subscription will remain active until the end of your current billing period.
7.4 Free Trial
We may offer a free trial of our paid subscription plans. At the end of the free trial period, you will be automatically charged for the applicable subscription unless you cancel before the end of the trial period.
7.5 Refunds
All purchases are final and non-refundable, except as required by law or as expressly stated in these Terms. If you believe you were charged in error, please contact us at support@policypulse.co.

8. Content and Licenses
8.1 Your Content
You retain all rights in, and are solely responsible for, the content you upload, submit, post, transmit, or display on or through the Services ("Your Content"). By uploading or posting Your Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content solely for the purpose of providing and improving the Services.
8.2 Our Content
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and to download and print content provided by us solely for your personal or internal business use.
9. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using the Services for any illegal purpose or in violation of any local, state, national, or international law;
- Violating or encouraging others to violate the rights of third parties, including intellectual property rights;
- Posting, uploading, or distributing any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate;
- Interfering with security-related features of the Services;
- Using any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Services or to extract data;
- Attempting to interfere with or compromise the system integrity or security of the Services;
- Bypassing measures we may use to prevent or restrict access to the Services;
- Engaging in any automated use of the system, such as using scripts to send comments or messages;
- Impersonating or misrepresenting your affiliation with any person or entity;
- Collecting or storing personal data about other users without their express permission.
10. Intellectual Property Rights
The Services and all content and materials included on the Services, including, without limitation, the PolicyPulse logo and all designs, text, graphics, pictures, data, software, sound files, and other files, and the selection and arrangement thereof, are the property of PolicyPulse or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws.
11. DMCA/Copyright Policy
We respect the intellectual property rights of others and expect users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from the Services infringe your copyright, you may request removal of those materials by submitting written notification to our copyright agent at:

12. Third-Party Links & Integrations
The Services may contain links to third-party websites, services, or resources that are not owned or controlled by PolicyPulse. We are not responsible for the content or availability of such third-party sites or resources, and we do not endorse and are not responsible for any content, advertising, products, or other materials on or available from such sites or resources. Your use of third-party websites or services is subject to the terms of use and privacy policies of those third parties.
We may also provide integrations with third-party APIs or services. We are not responsible for the performance, reliability, or availability of such third-party integrations.
13. Termination
We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason. Upon termination, you must cease all use of the Services.
Violations of these Terms may result in:
- A warning notice with instructions to remedy the violation;
- Temporary suspension of your account or specific features for a defined period;
- Permanent termination of your account with no refund of any fees paid.
14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WHILE WE ATTEMPT TO MAKE YOUR ACCESS TO AND USE OF THE SERVICES SAFE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE SERVICES OR CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
The summaries, tags, risk scores, and any other outputs generated by PolicyPulse are for informational purposes only and do not constitute legal advice. PolicyPulse is not a law firm, and you should consult a qualified attorney for advice tailored to your situation.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL POLICYPULSE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
16. Force Majeure
PolicyPulse shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, epidemics, pandemics, or shortages of transportation facilities, fuel, energy, labor or materials, or internet or telecommunications outages.
17. Export Controls & Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control, in regard to products, services, or encrypted technology provided by PolicyPulse. By using the Services, you represent and warrant that you are not located in any country or region that is subject to U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
18. Indemnification
You agree to defend, indemnify and hold harmless PolicyPulse, its parent company, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that Your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Hudson County, New Jersey for the resolution of any dispute arising from these Terms or your use of the Services.
20. Arbitration & Class Action Waiver
For any dispute you have with PolicyPulse, you agree to first contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute informally, we each agree to resolve any claim, dispute, or controversy arising out of or in connection with or relating to these Terms through binding arbitration.
Arbitration Procedures: The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the AAA's Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
Location: The arbitration will be conducted in Harrison, New Jersey, unless you and PolicyPulse agree otherwise.
Costs: Each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA rules. For claims less than $10,000, PolicyPulse will reimburse filing and administrative fees upon submission of proof of payment.
Class Action Waiver: ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS OR REPRESENTATIVE ACTION. THE PARTIES WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
21. Assignment & Successors
You may not assign or transfer these Terms, by operation of law or otherwise, without PolicyPulse's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. PolicyPulse may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
22. Severability & Waiver
22.1 Severability
If any provision of these Terms is found to be invalid, unenforceable, or illegal, the rest of the Terms will remain in effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
22.2 Waiver
No waiver of any provision or any right granted hereunder will be effective unless set forth in a written instrument signed by the waiving party. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms.
23. General Terms
These Terms constitute the entire agreement between you and PolicyPulse regarding the use of the Services. If any provision of these Terms is found to be invalid by a court of competent jurisdiction, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.
24. Feedback
We welcome your comments and feedback. By submitting any ideas, enhancements, or suggestions ("Feedback") to PolicyPulse, you grant PolicyPulse a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, distribute, and commercialize your Feedback in any manner.
